TERMS AND CONDITIONS FOR SALES OF SCREENFLEX SCREENS

Delivery

• Screenflex will deliver the screens on the delivery date agreed with you.
• In the event that Screenflex is not able to delivery the screens to you on the delivery date then it will inform you as soon as is reasonably possible.
• Time is not of the essence for the purpose of these terms and conditions and Screenflex shall have no liability whatsoever for failing to delivery the screens on the agreed delivery date.
• In the event that you decide to change the delivery date by less than 5 Working Days then you must provide Screenflex with at least 2 Working Days prior notice. In the event that you fail to provide Screenflex with less than 2 Working Days prior notice of the change to the delivery date Screenflex may charge you an additional fee of £150 at its discretion. A Working Day is 9.00 am to 5.00pm during which the Banks are open in England. This only applies to changes of the delivery date, cancellations are dealt with below.
• In the event that you decide to change the delivery date by in excess of 5 Working Days then you will be required to provide a minimum of 6 weeks notice. In the event that you fail to provide Screenflex with less than 6 weeks notice to change the delivery date then Screenflex may charge you to store the screens a charge of £150 per week until the date of delivery.

Deposits

• Upon confirmation of your order to purchase screens, Screenflex requires a 25% deposit of the order.
• This order is non refundable upon cancellation if cancellation is provided with less that 8 weeks notice of the delivery date for normal orders and 12 weeks for exceptional orders as described below.

Cancellation Charges

If you decide to cancel the purchase of any of the screens the following process will apply:

1. You must provide a minimum of 8 weeks notice to Screenflex in order to obtain a return of your order.
2. For exceptional orders (those orders where in excess of 20 screens) a minimum notice period of 12 will be required.
3. In the event that you do not provide a minimum of 8 weeks notice to Screenflex, Screenflex may charge you at its discretion the following Cancellation Charges:

Risk and Title

• Risk of the screens will pass to you on receipt of delivery of the screen.
• You will be required to ensure that you have in place appropriate insurance or are able to pay the remaining amount of the outstanding sums to Screenflex.
• Title of the screens will pass to you on payment of all outstanding sums to Screenflex.

Charges, Invoicing and Payment

• Screenflex will invoice you upon successful delivery of the screens or upon receipt of a notice of cancellation.
• You are required to pay the invoices within 14 days of receipt of the invoice. Screenflex shall be entitled to charge interest upon any late payment of your invoice at the sum of 4% above Lloyds TSB Bank’s standard base rate until full payment is received by Screenflex.

Disclaimer and Liability

• Screenflex screens are available on an “AS IS” basis upon receipt and no representation or warranties are given (whether express, implied or orally) and all implied warranties under law are excluded to the extent that the same are capable of exclusion.
• Screenflex limits its liability under these terms and conditions for all damages, losses and expenses incurred by you to the sum of the fees paid by you to Screenflex. Screenflex excludes all indirect, special and consequential losses capable of exclusion under law. Screenflex acknowledges that it cannot limit its liability for loss or damage for fraud, or personal injury or death caused by Screenflex’s negligence.

TERMS AND CONDITIONS FOR HIRE OF SCREENFLEX SCREENS

Delivery

• Screenflex will deliver the screens on the delivery date agreed with you before hand.
• In the event that you decide to change the delivery date you must provide Screenflex with at least 2 Working Days prior notice. In the event that you fail to provide Screenflex with less than 2 Working Days prior notice of the change to the delivery date Screenflex may charge you an additional fee of £100 at its discretion. A Working Day is 9.00 am to 5.00pm during which the Banks are open in England.

Returns

• Screenflex will pick up the screens on the agreed return date.
• If you decide to change the return date to a date earlier than the agreed return date you will still be required to pay for the screen rental at the pre agreed rate up to the date of the agreed return date.
• If you decide to change the return date to a date after the agreed return date than you will be required to pay for the screen rental at the pre agreed rate until the date when Screenflex pick up the screens.
• In the event that you fail to provide Screenflex with less than 2 Working Days prior notice of the change to the agreed return date Screenflex may charge you an additional fee of £100 at its discretion.

Cancellation Charges

• If you decide to cancel rental of the screens you must provide a minimum of 6 Working Days notice to Screenflex.
• In the event that you do not provide a minimum of 6 Working Days notice to Screenflex, Screenflex may charge you at its discretion the following Cancellation Charges:

Damages and Repair

• Risk of the screens will pass to you on receipt of delivery of the screen.
• From Delivery until receipt by Screenflex of the screens you will remain responsible for the screens. You are expected to have in place sufficient insurance in order to cover the risk of loss, damage, or theft of the screens.
• If Screenflex on inspection of the screens at its head office identifies any damage caused during the term of the rental then it will be entitled at its discretion to make the following charges:
• £500 for all damages capable of being repaired by Screenflex;
• £1,700 for all damages incapable of being repaired by Screenflex.

Charges, Invoicing and Payment

• Screenflex will invoice you after the screens have returned to the head office after inspection setting out the charges that you owe in relation to your rental period and any additional charges that Screenflex is capable of charging you in accordance with these terms and conditions
• You are required to pay the invoices within 30 days of receipt of the invoice. Screenflex shall be entitled to charge interest upon any late payment of your invoice at the sum of 4% above Lloyds TSB Bank’s standard base rate until full payment is received by Screenflex.
